Any party desirous of taking sole selling agency in any State will have to pay rs.25 lacs (Joining Packages worth Rs. 7.20 lacs and Repurchase products of Rs. 16.80 lacs) compulsorily. Also, Rs. 1 lac will have to be deposited as security deposit, on which no interest will be paid |

In the States, where sole selling agency is given, the company will despatch the goods on its cost upto the godown of the sole selling agent. |

It will be the responsibility of the sole selling agent to supply the goods regularly from its godown to the Stock Point centers. The sole selling agent will bear the cost of transportation from godown to Stock Point centers. |
| 4. |
The sole selling agent will have to bear expenses of loading, unloading office expenses like electric, telephone, staff salary, stationary and expenses incurred to run the business of the company. |

The company will pay commission @ 120 on Joining Packages and @ 12% on Re-purchase (FMCG and other) products to the sole selling agent on net sells (Net Sells = Gross Sale – Sales Tax) |

The company will bear Sales Tax / VAT of the State for which the agency has been given. |

After appointment of sole selling agent, the agent will have to send the stock report, sale & purchase report, and other reports to the company regularly by e-mail as under:
Send report by 2nd of each month compulsorily to the Head Office.
- Debit Credit report of Stock Point.
- Computerized and Physical monthly stock report.
- Total sales register.
- Tax report.
- Commission report.
- Expenses (Freight, Octroi etc.) report.
- Bank Statement.

Whenever any sole selling agent wants to open a Stock Point center, it will have to send all documents regarding Stock Point to the company. The company after granting the permission to open a Stock Point will register the same within 48-72 hours. Stock Point center will be permitted only when the first bill of Stock Point center is of minimum Rs. 3. lacs and the Stock Point have computerization and e-net facility. |

It will be the responsibility of sole selling agent to make available all type of goods at Stock Point centers of the State as per terms and conditions of the company in time. |

Sole selling agent will keep stock of all products and joining packages as per standards and norms set by the company. |
| 11. |
Sole selling agent will compulsorily have Telephone, Fax, Computer, Printer and Broadband Internet Connection. |
| 12. |
For opening new Stock Point different conditions set by the company will have to be met for which inspection by the company staff will be carried. |

Accounts will be maintained in Tally Software. |
| 14. |
There should be no debit balance at any time in Stock Point account. |
| 15. |
After receipt of order and payment from Stock Point, the goods will be despatched within maximum 7. days. Goods should be despatched after preparation of bill not on challan. |

Before despatch of goods, the same should be checked carefully 2-3 times for damaged / short material. In such case the report should be first sent to the company. |

Maintain depot reorder level. Depot orders to the Head Office should be of minimum Rs.5 lacs or more. |

Check packing of packages and FMCG/other products at depot level, randomly. |
| 19. |
For any complaint relating to head office, kindly follow until unless this complaint is redressed. After three reminders contact to the M.D. directly. |

Whenever any event is organised in the State, the depot will distribute all the rewards/gifts and company will send a prior information in this regard to the depot. For distribution of gift, hologram letter head and I.D. Confirmation are necessary. Gift will be distributed on this basis only. In case of any event in the State, the depot's working will be closed 2 day prior to the event and depot will assist in organising the event. |

The cases relating to MLM plan security system (Welfare Fund) will be transferred to the depot and depot will verify the same. |
| 22. |
The company reserves right of change in any terms and conditions keeping in view the interest of distributors and company as a whole. |

All disputes with regard to this business is subject to patna jurisdiction only. |
