(1). The party, who is desirous to take Super Shoppe in any district will have to pay Rupee 10,00,000/-
(Ten Lakhs) for super shoppe. The company will provide in return the products on D.P of such amount to
the super shoppe in the ratio of (PIN 3,00,000/- & 7,00,000/- repurchase products) for smooth functioning
of the business and meeting the demand in that area.
(2). The company will not hold any security deposit nor is charging any franchisee fee from the shoppe
owner.It will be the responsibility of super shoppe to give services to all block shoppes and
collection/panchayat/home centres (in the absence of block shoppe ) of its district .
(3). The super shoppe shall bear transportation expences or shall be bound to deliver the products at its
own cost to block shoppe or home shoppe/ collection centres , only if a minimum order of atleast
Rs.20,000/- is placed.
(4). The super shoppe shall maintain stock balance of minimum Rs. 7,50,000/- all the times. It is the
responsibility of the owner to place order to the C&F (respective state only) , purchase products and
maintain sufficient stock to meet the sales / demands within its jurisdiction and also increase the
investment or stock as sales increases proportionally.
(5). The super shoppe shall place a minimum order of Rs. 25,000/- to the C&F for receiving the products and
getting the benefit of home delivery.Only then the transportation expenses shall be borne by the C&F.
(6). The company will bear the room rent of the super shoppe (upto 10,000/-) and two staff salary (upto
6,000/- + 4,000/-) , if the district shoppe maintain the monthly business of Rs.3,00,000/- at least.
(7). The company will pay the commission, Rs. 50 on dream pack, Rs. 100 on Bonanza, 170 Rs. on Welcome
KIT and 220 Rs. on Super Premium pack as well @ 10% on the repurchase on direct billing and 4% on
indirect billings done to block shoppe ,of any products, to the super shoppe on Net Sale. (Net Sale = Gross
Sale - Sale Tax.).The commission shall be payable on every mode of sale (direct /indirect/online/offline)
through which order is placed or sales take place in that district.
(8). The District Shoppe will purpose to appoint a competent person as an Area Manager/District Development Officer (DDO) to the district shoppe for promoting the business and generating sales, monitoring the block level shoppe and officers as well and the company will appoint the same person as an Area Manager/District Manager. The DDO will assist the District shoppe to generate the minimum sale of rs. 5,00,000/- per month.
(9). Apart from this the District shoppe shall also be provided free medical camp support for promotion,
publicity and increasing sales and doctor support as well . 1 Ambulance, 1 Doctor and 1 Helper shall also
be provided to develop the Super Shoppe (In Special Case).
(10). The District shoppe shall be the authorized sole supplier in its district and the company will never open
another district shoppe in the same district if the district shoppe complies to the code of conduct , ethics
and terms of the agreement, keep sufficient stock to meet the sales/demands of that district and no
complaint regarding availability of product or rendering of services is received against him.
(11). The District Shoppe will be entitled to open block shoppe/ panchayat/home shopee, receive money,
get the agreement done and supply them products after furnishing the requisite details/documents and
getting approval from the CEO or MD of the company via mail..
(12). The company reserves the right to change the terms and conditions with prior approval of CEO, MD
and Managing / Advisory committee members , for the benefits of KHS distributors and smooth functioning
of the business and also terminate the license of the shoppe owner if found engaged in malpractice , doing
business unethically , not complying to company’s ethics/code of conduct/ terms & conditions of the
agreement or if sufficient stock as per sales is not maintained or if complaints against him on rendering of
services /duties is reported and found correct by CEO or MD of the company.
(13). The district shoppe shall be the sole supplier of not only the existing products but also the products to
be launched by the company in future and shall also be given first preference and opportunity to be the
supplier /shoppe owner of the new business segments as entered /diversified by the company if the shoppe
owner keep sufficient stock , invests further as per market need or reasonable terms as decided by the
CEO,MD and the managing committee members of the company.
(14). The company will never return back any product from district shoppe.Only the damaged products
received due to transport shall be considered by the C&F. The super shoppe will not be surrendered. It will
be only transferred to the another hand and amount against the stock may be payable to the family of the
district shoppe (only on special/ emergency cases or on death of the district shoppe owner) after
verification that too only after 2 years have passed from the opening date and on receipt of written
request/ notice with time period of atleast 3 months to transfer the shoppe to another investor/party.
(15). The District Shoppe will submit the whole amount of joining package/activation package weekly (end of the week) and the amount of sale of the whole month shall deposit to the company’s account on 2 nd day of every month.
(16). All disputes with regards to this business is subject to "PATNA JURISDICTION" only.
